Crux End User License Agreement

This is the agreement between you and Red River Company Limited (Suite 509, 5/F Bank of America Tower, 12 Harcourt Road, Central, Hong Kong), a company registered in the Hong Kong Special Administrative Region ("we", "us") covering your use of Crux, a macOS application that records meetings, transcribes them on-device, and generates AI notes.

By installing or using Crux, you agree to this Agreement. If you don't agree, don't install or use the app.

1. The license

When you buy a Crux license key, we grant you a personal, non-exclusive, non-transferable license to install and use Crux on the Macs you personally own or use — up to three (3) of them (for example, your work Mac and your home Mac). One license key is for one person's own use, not for sharing with colleagues, family, or the public.

You may not:

  • Reverse engineer, decompile, or disassemble Crux, except where the law gives you the right to do so despite this restriction.
  • Redistribute, resell, sublicense, or share your license key or the app itself with anyone else.
  • Use Crux to build a competing product.

2. The free trial

Crux includes a free trial of 40 recorded hours, no credit card required.

  • Recordings you make during the trial are yours. They remain fully accessible — playback, transcripts, notes, export — after the trial ends.
  • Once your 40 trial hours are used up, Crux blocks new recordings until you activate a paid license. It never locks you out of anything you've already recorded.

3. Payment and activation

Crux is sold as a one-time purchase (currently US$20) through Lemon Squeezy, who act as the merchant of record: they process your payment, handle VAT/sales tax, and issue your license key. Activating a key requires a brief online check with Lemon Squeezy's licensing API; after that, Crux runs and records entirely offline.

4. Ownership

Crux, including its code, design, and branding, is owned by us and protected by copyright and other laws. You own the license you purchase, not the software itself. You retain full ownership of everything you record, transcribe, or generate using Crux — that content is yours, not ours (see PRIVACY.md for detail on what we can and can't see).

5. No warranty

Crux is provided "as is," without warranties of any kind, express or implied. We don't guarantee it will be error-free, uninterrupted, or fit for any particular purpose. Meeting recording and AI-generated notes can be inaccurate or incomplete — always verify anything important before relying on it.

6. Limitation of liability

To the maximum extent the law allows, we are not liable for any indirect, incidental, or consequential damages arising from your use of Crux — including lost data, lost business, or missed meeting content. Our total liability to you for any claim will not exceed the amount you paid for your license.

Nothing in this Agreement limits liability where the law doesn't allow it to be limited (for example, liability for fraud).

7. Updates

We may release updates to Crux from time to time, entirely at our discretion. There's no guarantee of ongoing updates, new features, or support for any particular version. If you're a licensed user, updates are provided at no extra cost for as long as we continue to offer them.

8. Termination

This license ends automatically if you breach this Agreement — for example, by sharing your key or reverse engineering the app. We may also revoke a license key found to be fraudulent or obtained through a chargeback. On termination, you must stop using Crux, but you keep whatever you've already recorded — this Agreement never affects ownership of your own content.

9. Changes to this Agreement

We may update this Agreement as the product evolves. We'll post the current version at https://cruxminutes.com. Continuing to use Crux after an update means you accept the revised terms.

10. Governing law

This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.
